PUBLICATION OF THE INFORMATION DOCUMENT RELATING TO THE PROCEDURE FOR EXECUTING THE PURCHASE OBLIGATION PURSUANT TO ARTICLE 108, PARAGRAPH 2, OF THE TUF BY ASSICURAZIONI GENERALI SPA ON THE ORDINARY SHARES OF SOCIETÀ CATTOLICA DI ASSICURAZIONE SPA

Trieste – Following the press release published on July 6, 2022, referring to the procedure (the “Procedure“) for the fulfillment of the purchase obligation (the “Purchase obligation“) in accordance with Article 108, paragraph 2, of the TUF, as subsequently amended and supplemented, to be carried out by Assicurazioni Generali SpA (“Assicurazioni Generali“) on the ordinary shares of Società Cattolica di Assicurazione SpA (“Cattolica” – ISIN: IT0000784154) following the exceeding by Assicurazioni Generali of the 90% threshold provided for in article 108, paragraph 2, of the TUF announced on market on May 24, 2022 in accordance with Article 50, paragraph 1, of the regulations adopted by Consob by decision No. 11971 of May 14, 1999, as subsequently amended (the “Regulation of issuers“), in accordance with Article 38, paragraph 2, of the Issuers’ Regulations, it is communicated that on the date hereof, the information document relating to the Procedure approved by Consob by decision n° 22389 of July 6 2022 (the “Information folder“) was published on the Cattolica website (www.cattolica.it), the dedicated website of Assicurazioni Generali (www.generali.com/it/cattolica-pto) and the site of the Global Information Agent of the Procedure (www.morrowsodali-transactions.com).

The information document is made available to the public at the registered office of Assicurazioni Generali, located in Trieste, via Piazza Duca degli Abruzzi n° 2; the head office of Cattolica, located in Verona, via Lungadige Cangrande n° 16; the registered office of the intermediary appointed to coordinate the collection of sales requests, located in Milan, via Turati n° 9; the head office of the intermediaries designated to collect the sales requests submitted to the Procedure.

As already communicated on July 6, 2022, please note that, in accordance with article 50-quinquies, paragraph 1, of the Issuer Regulations, the deadline for submitting sales requests under the Procedure, agreed with Borsa Italiana SpA, will begin on July 11, 2022 (inclusive) and, unless extended, will end on July 29, 2022 (inclusive). The consideration for the performance of the Purchase Obligation, equal to 6.75 euros for each Cattolica share tendered to the Proceedings, will be paid on the fifth trading day following the end of the period for presenting sales requests, i.e. on August 5, 2022, unless extended, in exchange for the simultaneous transfer to Assicurazioni Generali of title to the shares contributed to the Proceedings.
