Delay in publication of the annual financial report

The Company regrets to announce that it does not expect to be able to publish its Annual Financial Report for the year ended 31st December 2021 by the 30and April 2022, as required by capital market rules.

The share exchange transaction announced on 25and June 2021 has significantly increased the complexity of the Group, now spread across an increased number of reporting jurisdictions, and with continued COVID-19 infections among key accounting personnel, the preparation and audit of financial statements is taking on more time than originally planned. Progress was further delayed by the fact that the deputy managing director in charge of finance suffered a serious hit-and-run accident during the most critical part of the audit period.

The Board of Directors and the Audit Committee are in regular contact with KPMG, the Company’s auditors, to monitor the audit process. KPMG has confirmed that the audit is progressing without any issues. The Board expects to be able to publish the Annual Financial Report on June 15, 2022, but every effort is being made, and will continue to be made, to anticipate publication as much as possible. The directors will also soon publish the date set for the annual general meeting.

30and In April 2022, the Company will publish Group financial key performance indicators for the 2021 financial year as well as a Group business update for the first quarter of 2022.

The delay in the publication of Company information audited consolidated accounts statements should result in the suspension of trading in the listed securities of the Company

securities by the Malta Stock Exchange from the first trading day following the deadline for submission of the financial information in question in accordance with the applicable policy of the Malta Financial Services Authority, until such financial information is published by the Company in accordance with Capital Market Rules Requirements. The Company will make the other necessary announcements in this regard, in due course.

The Board also wishes to inform the market that the audited financial statements of Medserv Operations Limited (guarantor of the €20M 2023 6%

Secured Securities) for the year ended December 31, 2021, will be published on December 30,and

April 2022.
