Subscription offer and Publication of the Prospectus

Seneca Growth Capital VCT Plc (LSE: SVCT) is pleased to announce that it has published a prospectus relating to an offer to subscribe for ordinary B shares of 1 pence each of the Company to raise, in aggregate, up to £10 million with an over-allotment facility of up to an additional £10 million (before issue costs) (the “Offer”).

The Offering will commence on August 26, 2022 and is expected to close no later than 5:00 p.m. on April 5, 2023 for fiscal year 2022/23 and will close at 5:00 p.m. on August 18, 2023 for fiscal year 2023/24 (unless, in either case the Offer was fully subscribed before these dates or closed earlier at the discretion of the Directors).

Pursuant to an Offer Agreement dated 25 August 2022 relating to the Offer between, among others, the Company and Seneca Partners Limited (“SPL”), the Company’s investment manager, SPL as promoter of Offer will receive a sponsor fee of up to 5.5% of the request amount against each accepted request (with fee reductions applicable in certain cases (e.g., advance requests under the Offer)). The total amount of promotion fee payable to SPL under the Offer Agreement shall not exceed £600,000.

As SPL is a related party of the Company under the Listing Rules, the payment of a promotion fee by the Company to SPL is a transaction to which Listing Rule 11.1.10R applies.
